Welcome to Milo Communications. These Terms and Conditions (“Agreement”) govern your access to and use of the Milo Communications website, products, equipment, applications, and telecommunications services (“Services”).
By using our website or Services, you agree to be legally bound by this Agreement. If you do not agree with these Terms and Conditions, do not use the Services.
This Agreement was developed using industry-standard telecommunications policies and emergency calling disclosures commonly used by major North American communications providers.
1. Definitions
For purposes of this Agreement:

“Milo Communications,” “Milo,” “we,” “our,” or “us” refers to Milo Communications.

“Customer,” “you,” or “your” refers to the person or entity using our Services.

“Services” means any telecommunications, VoIP, cloud phone, messaging, internet-based communications, or related services provided by Milo Communications.

“Equipment” means devices, routers, adapters, phones, gateways, applications, or hardware used with the Services.
-
“E911” means Enhanced 911 emergency calling functionality available through certain Milo Services.
-
“Service Address” means the physical location registered with your account for emergency response purposes.
2. Eligibility
You represent and warrant that:

You are at least 18 years old;
-
You have authority to enter into this Agreement;

All registration information provided by you is accurate and current;
-
You will maintain updated account information at all times.
3. Changes to Terms
Milo Communications reserves the right to modify these Terms at any time. Updated Terms become effective once posted on our website.
Your continued use of the Services following changes constitutes acceptance of the revised Terms.
4. Service Availability
Services are provided on a commercially reasonable basis and are dependent on factors outside of Milo Communications’ control, including:

Internet connectivity;

Cellular carrier availability;
-
Electrical power;
-
Third-party infrastructure;
-
Network congestion;
-
Equipment compatibility.
Milo Communications does not guarantee uninterrupted or error-free service.
Service outages may occur.
5. Important Emergency Services Disclosure (E911)
READ THIS SECTION CAREFULLY
Milo Communications provides Voice over Internet Protocol (“VoIP”) and internet-based communication services that may differ significantly from traditional landline telephone services, especially with respect to emergency calling services.
E911 functionality may not operate in the same manner as traditional wireline 911 service.
5.1 Service Limitations
You acknowledge and understand that E911 Services:

Depend on active internet and/or electrical power;
-
May not function during:
-
Power failures,
-
Internet outages,
-
Network congestion,
-
Equipment malfunctions,
-
Service suspensions,
-
Natural disasters,
-
Third-party carrier failures;
-
-
May experience delays in connecting emergency calls;
-
May not automatically transmit your exact location to emergency responders.
5.2 Registered Address Requirement
You must maintain an accurate and current Service Address for each device or user utilizing Milo Communications Services.
If you move your Equipment or use Services from a different location without updating your registered Service Address:
-
Emergency responders may be dispatched to the wrong location;
-
Your emergency call may be delayed;
-
Emergency services may not be dispatched at all.
You are solely responsible for ensuring your Service Address information remains accurate.
5.3 Calls Routed to National Emergency Centers
In some situations, your 911 call may be routed to a national emergency call center instead of a local Public Safety Answering Point (“PSAP”).
This may occur when:

Your address cannot be verified;
-
Your location is unavailable;
-
Local emergency infrastructure does not support E911;
-
Network disruptions occur.
If routed to a national emergency center, you may need to verbally provide:
-
Your name;
-
Your callback number;
-
Your exact physical location.
Failure to provide accurate information may delay emergency response.
5.4 No Guarantee of E911 Availability
Milo Communications does not guarantee:
-
Availability of E911 service at all times;
-
Compatibility with every device;
-
Successful routing of emergency calls;
-
Accurate location transmission;
-
Continuous operation during outages.
You acknowledge that E911 service has inherent limitations compared to traditional landline 911 services.
5.5 Alternative Access to Emergency Services
You agree to maintain an alternative method of contacting emergency services at all times, including:

A traditional landline;
-
A cellular phone;
-
Another independent communication method.
Milo Communications strongly recommends that customers do not rely exclusively on Milo Services for emergency communications.
5.6 Notification Requirement
You agree to notify all users, employees, guests, contractors, or any other persons who may use the Services of the limitations associated with E911 functionality.
6. Acceptable Use
You agree not to use the Services:

For unlawful purposes;
-
To transmit spam or fraudulent communications;
-
To harass, abuse, threaten, or impersonate others;
-
To interfere with network operations;
-
To engage in unauthorized monitoring or surveillance;
-
For auto-dialing, robocalling, or illegal telemarketing;
-
In any manner that violates applicable laws or regulations.
Milo Communications reserves the right to suspend or terminate Services for violations of this policy.
7. Prohibited Activities
You may not:
-
Reverse engineer or tamper with Equipment;
-
Attempt unauthorized access to systems or networks;
-
Circumvent security measures;
-
Resell Services without authorization;
-
Use Services in a manner that disrupts other users.
8. Billing and Payments
You agree to pay all applicable:
-
Service fees;
-
Taxes;
-
Regulatory fees;
-
Equipment charges;
-
Late payment fees.
Failure to pay may result in:
-
Suspension of Services;
-
Account termination;
-
Collection actions.
Recurring services may automatically renew unless canceled in accordance with our cancellation policies.
9. Service Suspension or Termination
Milo Communications may suspend or terminate Services immediately for:
-
Non-payment;
-
Fraudulent activity;
-
Abuse of Services;
-
Violation of these Terms;
-
Legal or regulatory requirements.
You remain responsible for charges incurred prior to termination.
10. Intellectual Property
All website content, trademarks, branding, logos, software, and materials remain the exclusive property of Milo Communications or its licensors.
You may not copy, reproduce, distribute, or modify content without written permission.
11. Privacy
Your use of the Services is subject to the Milo Communications Privacy Policy.
By using the Services, you consent to the collection and use of information necessary to provide and support the Services.
12. No Warranty
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILO COMMUNICATIONS DISCLAIMS ALL WARRANTIES, INCLUDING:

MERCHANTABILITY;

FITNESS FOR A PARTICULAR PURPOSE;
-
NON-INFRINGEMENT;
-
UNINTERRUPTED SERVICE;
-
ERROR-FREE OPERATION.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILO COMMUNICATIONS SHALL NOT BE LIABLE FOR:

INDIRECT DAMAGES;
-
INCIDENTAL DAMAGES;
-
CONSEQUENTIAL DAMAGES;
-
LOST PROFITS;
-
LOSS OF DATA;
-
BUSINESS INTERRUPTION;
-
FAILURE OF EMERGENCY SERVICES;
-
INABILITY TO ACCESS 911 OR E911 SERVICES.
THIS LIMITATION APPLIES EVEN IF MILO COMMUNICATIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14. Indemnification
You agree to defend, indemnify, and hold harmless Milo Communications and its officers, employees, affiliates, and partners from claims arising out of:

Your use of the Services;

Violation of these Terms;
-
Violation of law;
-
Misuse of emergency services.
15. Governing Law
These Terms shall be governed by and interpreted under the laws of the Province of Alberta and the laws of Canada applicable therein.
Any disputes shall be resolved exclusively in Alberta, Canada unless otherwise required by law.
16. Force Majeure
Milo Communications shall not be liable for delays or failures caused by events beyond reasonable control, including:

Natural disasters;

Power outages;
-
Internet failures;
-
Government actions;
-
Labor disputes;
-
Cyberattacks;
-
Third-party carrier failures.
17. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain fully valid and enforceable.
18. Entire Agreement
These Terms constitute the complete agreement between you and Milo Communications regarding the Services and supersede prior agreements or understandings.
